Terms and Conditions
Last Updated: 10 April 2025
Welcome. These Terms and Conditions (“Terms”) govern your use of our website and the services we provide. By accessing our website or using our Services, you agree to be bound by these Terms and our Privacy Policy.
The terms “we”, “us”, and “our” refer to YESGO (PTY) LTD (Registration Number: 2025/311485/07), a private company registered in the Republic of SOUTH AFRICA. The term “you” or “client” refers to any individual, company, or entity using our Services.
1. Description of Services
We provide specialized digital services, which include but are not limited to:
- Ad Landing Page Package: A service to design, build, and host a high-conversion, single-purpose landing page for advertising campaigns.
- Managed Hosting: A required hosting service for our Ad Landing Pages, ensuring optimal performance, speed, and security on our proprietary platform.
- Domain Name Purchase: The sale of domain names through once-off or installment-based payment plans.
- Domain Name Rental: The rental of domain names on a monthly basis following an initial contract term.
2. Ad Landing Page Package: Service Terms
2.1. Scope of Work
The Ad Landing Page Package includes the creation of one (1) single ad landing page. To ensure maximum effectiveness for advertising campaigns, this page is strategically designed to focus on a single product or service and is not intended to be a substitute for a complete, multi-page website. This singular focus is critical for achieving high conversion rates.
This package includes a free .co.za domain name registration for one (1) year.
Should you require a full website design or redesign, please contact us for a separate quotation.
2.2. Hosting and Portability
Each landing page purchased includes one (1) month of our Managed Hosting Subscription. After the free month, hosting is required to keep the page live and will be billed on a recurring monthly basis. Our landing pages are built on proprietary infrastructure and utilize specific speed tools and a high-traffic management platform. Consequently, the landing page website files, design, and underlying technology are not transferable or migratable to a third-party hosting provider.
2.3. Initial Project Revisions
The initial package price includes a one-time allowance of one (1) round of minor revisions. This service is available during the “Review & Refinement” phase, which is a seven (7) day window immediately following our delivery of the initial page draft. Any revisions requested after this 7-day period are subject to the maintenance terms in Section 3.
2.4. Ownership
Upon receipt of the final payment for the landing page package, you receive full ownership of the .co.za domain name. You are free to transfer this domain name to another registrar if you choose. However, as stated in section 2.2, the website files and the platform they run on remain our property and part of our hosting service.
3. Ad Landing Page Maintenance & Updates
This section applies to clients with an active, paid Managed Hosting subscription for their Ad Landing Page, following the completion of the initial project, the 7-day “Review & Refinement” period, and the free hosting month.
3.1. Definition of Updates
- Minor Updates: These are small content adjustments that do not alter the page’s layout or structure. Examples include, but are not limited to: correcting spelling or grammatical errors, swapping an image with a new one of similar dimensions, updating contact details (phone number, email), and changing prices or dates.
- Major Structural Updates: These are changes to the layout, design, or core functionality of the landing page. Examples include, but are not limited to: adding, removing, or reordering entire sections, rows, or columns; implementing new features (e.g., a new form, a gallery); or significantly redesigning the look and feel of a section.
3.2. Included Maintenance Services
Clients with an active, paid Managed Hosting subscription are entitled to the following complimentary update services:
- One (1) Free Minor Update per Month: You are entitled to one request for minor updates per calendar month.
- One (1) Free Section Update Every Second Month: You are entitled to one (1) update of an existing section’s content and imagery every second calendar month (e.g., January, March, May, etc.). This does not include adding a new section.
- Service Expiry: These complimentary update services are non-cumulative and do not carry over to the next month or period if unused. They expire at the end of their respective cycle.
3.3. Turnaround Times and Priority Service
- Standard Turnaround: Complimentary updates will be completed within a standard timeframe of two (2) to seven (7) working days, subject to our current workload.
- Priority Service: A paid priority service is available for clients requiring urgent updates. This service guarantees a 24-hour turnaround time on working days. Please contact us for a quotation for priority updates.
3.4. Additional Work
Any updates exceeding the included monthly/bi-monthly services, or any work classified as a Major Structural Update, will be quoted and billed separately. Work will only commence upon your approval of the quotation.
4. Domain Name Purchase Plans
4.1. Payment Plans & Discounts
We offer several interest-free payment plans for the purchase of domain names. Available discounts are contingent on the selected plan. Coupon codes, where applicable, must be used at the time of checkout to be valid.
4.2. Ownership Transfer
Full ownership, rights, and control of the domain name will be transferred to you within 24 hours (or one business day) after all payments in your chosen plan have been completed and have cleared in our account. During the payment plan period, the domain name remains the legal property of YESGO (PTY) LTD.
4.3. Non-Payment & Late Payments
The first installment is required to secure the domain and begin the purchase agreement. Failure to make subsequent payments on time may result in penalties or the termination of the purchase agreement. In the event of termination due to non-payment, you will forfeit all amounts previously paid, and the domain name will remain the property of YESGO (PTY) LTD.
4.4. Post-Purchase Responsibilities
Once the domain name is transferred to you, you become solely responsible for all future registration and renewal fees required to maintain ownership of the domain.
5. Domain Name Rental Service
5.1. Rental Agreement & Payments
Our domain rental service requires an initial payment equivalent to two months’ rent (the first and last month), payable upfront via Electronic Funds Transfer (EFT). The rental agreement is subject to a minimum initial contract term of twelve (12) months. After this period, the rental continues on a month-to-month basis. Ongoing monthly rental fees are due via EFT by the 1st business day of each month.
5.2. Ownership During Rental
Throughout the rental period, the domain name remains the exclusive property of YESGO (PTY) LTD. This agreement grants you the right to use the domain name but does not transfer any ownership rights.
All payments made for the rental service are non-refundable. Failure to pay monthly rent will result in the immediate suspension of service and forfeiture of any prior payments.
5.3. First Right of Refusal
As the renter, you hold the “first right of refusal” to purchase the domain. If we receive a legitimate purchase offer from a third party during your rental term, we will notify you and give you seven (7) days to match the offer. If you decline or do not respond, we reserve the right to sell the domain to the third party, which would terminate your rental agreement at the end of the current paid month.
5.4. Termination of Rental
After the initial 12-month term, you may terminate the rental agreement by providing at least one (1) full calendar month’s written notice. The notice must be received before the 1st day of the month that will serve as your final notice month.
6. Client Responsibilities
6.1. Provision of Content
You, the client, agree to provide all necessary information, content (including text and images), and approvals in a timely manner to facilitate project completion. You warrant that you own or have obtained the legal right and license to use all materials you provide to us. You agree to indemnify YESGO (PTY) LTD against any and all claims, damages, or costs arising from any breach of this warranty, including claims of copyright or trademark infringement related to the content you supply.
6.2. Client Delays and Project Abandonment
We rely on your timely feedback and provision of content to deliver services on schedule. If we do not receive a response from you for a period of thirty (30) consecutive days, we will pause your project. We reserve the right to consider the project abandoned if there is no response for sixty (60) days. A fee may be required to reactivate and reschedule an abandoned project.
7. Acceptable Use Policy
You agree not to use our Services for any unlawful or prohibited purpose. Prohibited activities include, but are not limited to: transmitting spam, distributing malware, hosting fraudulent schemes, or promoting defamatory or illegal content. We reserve the right to suspend or terminate any service found to be in violation of this policy without notice and without refund.
8. General Payment and Refund Policy
All payments for Services must be made according to the terms of the selected plan or service. The first installment is required to commence work or secure an agreement. Unless otherwise stated, all fees paid to us are non-refundable.
9. Intellectual Property
All content on our website, including text, graphics, and logos, is the property of YESGO (PTY) LTD. The proprietary technology and frameworks used to build and host Ad Landing Pages are the exclusive intellectual property of YESGO (PTY) LTD and are licensed, not sold, to the client as part of the hosting service.
10. Disclaimer of Warranties
Our Services are provided on an “as-is” and “as-available” basis. YESGO (PTY) LTD makes no warranties, express or implied, regarding the Services. We explicitly disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, nor do we make any guarantee as to the results that may be obtained from the use of our Services (such as search engine rankings, lead generation, or sales increases).
11. Limitation of Liability
To the fullest extent permitted by law, YESGO (PTY) LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, resulting from your use of our Services.
12. Indemnification
You agree to indemnify and hold harmless YESGO (PTY) LTD and its employees from any claims, liabilities, or expenses arising out of your use of the Services or your violation of these Terms, particularly in relation to sections 6 and 7.
13. Dispute Resolution and Jurisdiction
In the event of a dispute arising from these Terms, both parties agree to first attempt to resolve the matter through good faith negotiation. If a resolution cannot be reached within thirty (30) days, you, the client, hereby consent to the exclusive jurisdiction of the Magistrate’s Court for the district of Krugersdorp, Gauteng, Republic of SOUTH AFRICA, in respect of any legal action arising from or related to these Terms, our Services, or our relationship.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of SOUTH AFRICA.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms (other than for a delay in the payment of money due and payable) for causes beyond that party’s reasonable control, including but not limited to acts of God, war, terrorism, government actions, national power grid failures, or natural disasters.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and YESGO (PTY) LTD and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding our Services.
18. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by updating the “Last Updated” date. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
